We perform studies and market research for our customers using a double-blind protocol. 4.How We Use Your Information.

We use information that we collect about you or that you provide to us, including any Personal Data:

to provide your Business Entity with information, products, or services that you request from us;

to receive the information that we request from your Business Entity;

to support, develop, troubleshoot, and debug our Website;

to create, maintain, customize, and secure your Business Entity’s account with us;

to process your Business Entity’s requests, purchases, transactions, and payments and prevent transactional fraud;

to make our requests, purchases, transactions, and payments to your Business Entity;

to provide you with support and to respond to your Business Entity’s inquiries, including to investigate and address your concerns and monitor and improve our responses;

to carry out our obligations and enforce our rights arising from any contracts entered into between your Business Entity and us, including for billing, collection, and accounts payable processing;

UserCue will not use the Personal Data we collected for materially different, unrelated, or incompatible purposes without providing you notice.

5.Disclosure of Your Personal Data.

We do not share, sell, or otherwise disclose your Personal Data for purposes other than those outlined in this Privacy Notice. However, we may disclose anonymized or aggregated information about our users without restriction.
We may disclose Personal Data that we collect or you provide as described in this Privacy Notice:

to contractors, service providers, and other third parties we use to support our business and who are bound by contractual obligations to keep Personal Data confidential and use it only for the purposes for which we disclose it to them. These entities provide business support services to UserCue, including IT and infrastructure support services;

to a potential or actual buyer or other successor in the event of a planned or actual merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of UserCue’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by UserCue about our Website’s users and/or Business Relationships are among the assets transferred;

When possible, these organizations are under contractual obligations to use this data only for providing the services to us and to maintain this information strictly confidential. These third parties may, however, aggregate the information they collect with information from their other customers for their own purposes.

7.Accessing, Correcting, and Deleting Your Personal Data.

You may also send us an email at privacy@tryusercue.com to request access to, correct or delete any Personal Data that we have collected about you. We cannot delete your Personal Data except by also deleting your user account. We may not accommodate a request to change or delete your Personal Data if we believe the change or deletion would violate any law or legal requirement or cause the information to be incorrect.

If you are a resident of the European Economic Area, Switzerland, or the United Kingdom, you have the additional rights described in our GDPR Privacy Addendum.

9.Do Not Track Signals and Global Privacy Control Signals.

We do not track you over time and across third-party websites or other online services for any purpose. As such, our behavior does not change in response to “do not track” or other similar signals.

10.Data Security.

We have implemented measures designed to secure your Personal Data from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on our servers behind firewalls.
The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Website or survey results, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.
Unfortunately, the transmission of information via the internet is not completely secure. Although we have implemented measures to protect your Personal Data, we cannot guarantee the security of your Personal Data transmitted to our Website or transmitted when you enter into a Business Relationship with us. Any transmission of Personal Data is at your own risk. We are not responsible for circumvention of any privacy settings or security measures deployed on the Website or our other servers used to maintain our Business Relationship.

In order to provide our Website and Services to you, we may send and store your Personal Data outside of the country where you reside or are located, including to countries that may not or do not provide an equivalent level of protection for your Personal Data. Your Personal Data is transferred by UserCue to another country only if it is required or permitted under applicable data protection law and provided, however, that there are appropriate safeguards in place to protect your Personal Data. To ensure your Personal Data is treated in accordance with this Privacy Notice when we transfer it to a third party, UserCue uses Data Protection Agreements between UserCue and all other recipients of your Personal Data.

1.Introduction.

This GDPR B2B Privacy Addendum (the “GDPR B2B Privacy Addendum”) supplements the information contained in UserCue Inc.’s (“UserCue”, “we,” “our,” or “us”) Privacy Notice (our “B2B Privacy Notice”) and describes our collection and use of Personal Data (as defined below). Subject to the scope described below, this GDPR B2B Privacy Addendum applies solely to employees, owners, directors, officers, or independent contractors of another company, partnership, sole proprietorship, non-profit or government agency (a “Business Entity”) who are located in the European Economic Area, the United Kingdom, or Switzerland (“Data Subject” or “you”). We adopt this GDPR B2B Privacy Addendum to comply with the European Union’s General Data Protection Regulation, and any laws implementing the foregoing by any member states of the European Economic Area, the United Kingdom (including the UK Data Protection Act and the UK-GDPR), and/or Switzerland (collectively, the “GDPR”). Unless otherwise defined in this GDPR B2B Privacy Addendum, any terms defined in the GDPR or our B2B Privacy Notice have the same meaning when used in this GDPR B2B Privacy Addendum. When this GDPR B2B Privacy Addendum is applicable to you, it takes precedence over anything contradictory in our B2B Privacy Notice, provided, however that in the event your Business Entity has entered into a separate agreement with UserCue that includes terms and conditions related to our processing of Personal Data that contradict either this GDPR B2B Privacy Addendum or the B2B Privacy Notice, such terms and conditions in the agreement will take precedence.

1.Scope of this GDPR B2B Privacy Addendum.
​
This GDPR B2B Privacy Addendum applies solely to Personal Data from Data Subjects that we collect reflecting a transaction between us and your Business Entity in the context of us providing a product or service to or receiving a product or service from your Business Entity, including the use of our Website (a “Business Relationship”), and that identifies, relates to, describes, references, is capable of being associated with, or could reasonably be linked, directly or indirectly, with you (“Personal Data”).
This GDPR B2B Privacy Addendum does not apply to employment-related Personal Data collected from our employees, job applicants, contractors, or similar individuals located in the EEA, Switzerland, or United Kingdom (“Personnel”). Please contact your local human resources department if you are part of such Personnel and would like additional information about how we process your Personal Data.

This GDPR B2B Privacy Addendum also does not apply to Personal Data that we collect about you in your individual capacity.
We perform studies and market research for our customers using a double-blind protocol and therefore generally do not collect Personal Data from survey and interview participants. Thus, this GDPR B2B Privacy Addendum also does not apply to Personal Data that we collect (or believe we collect) about you through our surveys and interviews administered by our AI agent.
This GDPR B2B Privacy Addendum also does not apply to certain Personal Data that is excluded from the scope of the GDPR.

2.Data Controller, Data Protection Officer, and Representative.
​
UserCue is the data controller of your Personal Data. At this time, UserCue is not required to appoint a Data Protection Officer or a representative in either the European Union or the United Kingdom and has elected not to do so. UserCue may be contacted in any manner set forth below in the Contact Information section of this GDPR B2B Privacy Addendum.

3.Information We Collect About You and How We Collect It.
​
The Personal Data we collect and the ways in which we collect it are described in our B2B Privacy Notice.
The Personal Data we collect from you is required to enter into a contract with UserCue, for UserCue to perform under the contract, and to provide you with our products and services. If you refuse to provide such Personal Data or withdraw your consent to our processing of Personal Data (when appropriate), then in some cases we may not be able to enter into the contract or fulfill our obligations to you under it.

4.Lawful Basis for Processing Your Personal Data.
​
The processing of your Personal Data is lawful only if it is permitted under the GDPR. We have a lawful basis for each of our processing activities (except when an exception applies as described below):

Consent. By being part of our Business Relationship, you consent to our collection, use, and sharing of your Personal Data as described in our B2B Privacy Notice and this GDPR B2B Privacy Addendum. If you do not consent to the terms of our B2B Privacy Notice and this GDPR B2B Privacy Addendum, please do not enter into the Business Relationship or ask your Business Entity to exclude you from the Business Relationship;

Legitimate Interests. We will process your Personal Data as necessary for our legitimate interests. Our legitimate interests are balanced against your interests and rights and freedoms and we do not process your Personal Data if your interests or rights and freedoms outweigh our legitimate interests. Our legitimate interests are to: facilitate communication between UserCue and you and your Business Entity; detect and prevent fraud and other financial crime; promote and market our business; check your credit and perform risk assessments; and evaluate and perform under the Business Relationship. In some cases, our legitimate interests may include marketing our goods and services to you or your Business Entity and performing analytics on your use of our goods and services by you on behalf of your Business Entity;

To Fulfill Our Obligations to You under our Contract. We process your Personal Data in order to fulfill our obligations to you pursuant to our contract with you or your Business Entity to deliver our goods and services to, or receive goods and services from, you and/or your Business Entity; and

As Required by Law. We may also process your Personal Data when we are required or permitted to by law; to comply with government inspections, audits, and other valid requests from government or other public authorities; to respond to legal process such as subpoenas; or as necessary for us to protect our interests or otherwise pursue our legal rights and remedies (for instance, when necessary to prevent or detect fraud, attacks against our network, or other criminal and tortious activities), defend litigation, and manage complaints or claims.

5.Special Categories of Information.

UserCue does not ask you to provide, and we do not knowingly collect, any special categories of Personal Data from you.

6.Automated Decision Making.
​
UserCue does not use your Personal Data with any automated decision making process, including profiling, which may produce a legal effect concerning you or similarly significantly affect you.

7.How We Use Your Information.

We use your Personal Data as described in our B2B Privacy Notice.

8.Disclosure of Your Information.
​
We do not share or otherwise disclose your Personal Data for purposes other than to the entities and for the purposes described in our B2B Privacy Notice.

9.Your Rights Regarding Your Information and Accessing and Correcting Your Information.
​
The GDPR provides you with certain rights with regards to our processing of your Personal Data. These rights replace the similar rights provided in our B2B Privacy Notice or are supplemental to such rights.

Access and Update. You can review and change your Personal Data by contacting us through the Contact Information below of any changes or errors in any Personal Data we have about you to ensure that it is complete, accurate, and as current as possible. We may not be able to accommodate your request if we believe it would violate any law or legal requirement or cause the information to be incorrect. We can only make certain changes to your Personal Data upon approval from your Business Entity.

Restrictions. You have the right to restrict our processing of your Personal Data under certain circumstances. In particular, you can request we restrict our use of it if you contest its accuracy, if the processing of your Personal Data is determined to be unlawful, or if we no longer need your Personal Data for processing but we have retained it as permitted by law.

Portability. To the extent the Personal Data about you processed by UserCue is processed based on your consent and that we process it through automated means, you have the right to request that we provide you a copy of, or access to, all or part of such Personal Data in structured, commonly used and machine-readable format. You also have the right to request that we transmit this Personal Data to another controller, when technically feasible.

Withdrawal of Consent. To the extent that our processing of your Personal Data is based on your consent, you may withdraw your consent at any time by closing your account. Withdrawing your consent will not, however, affect the lawfulness of the processing based on your consent before its withdrawal, and will not affect the lawfulness of our continued processing that is based on any other lawful basis for processing your Personal Data.

Right to be Forgotten. You have the right to request that we delete all of your Personal Data. We cannot delete your Personal Data except by also terminating your Business Relationship with us, and we will only terminate your Business Relationship with us upon approval from your Business Entity, and then only when we no longer have a lawful basis for processing your Personal Data or after a final determination that your Personal Data was unlawfully processed. We may not accommodate a request to erase information if we believe the deletion would violate any law or legal requirement or cause the information to be incorrect. In all other cases, we will retain your Personal Data as set forth in this policy. In addition, we cannot completely delete your Personal Data as some data may rest in previous backups. These will be retained for the periods set forth in our disaster recovery policies.

Complaints. You have the right to lodge a complaint with the applicable supervisory authority in the country you live in, the country you work in, or the country where you believe your rights under applicable data protection laws have been violated. However, before doing so, we request that you contact us directly in order to give us an opportunity to work directly with you to resolve any concerns about your privacy.

How You May Exercise Your Rights. You may exercise any of the above rights by contacting us through any of the methods listed under Contact Information below. If you contact us to exercise any of the foregoing rights, we may ask you for additional information to verify your identity. We reserve the right to limit or deny your request if you have failed to provide sufficient information to verify your identity or to satisfy our legal and business requirements. Please note that if you make unfounded, repetitive, or excessive requests (as determined in our reasonable discretion) to access your Personal Data, you may be charged a fee subject to a maximum set by applicable law. We may also contact your Business Entity to verify and obtain consent for any actions taken with respect to your request, when appropriate.

10.Consent to Processing of Personal Data In Other Countries Outside the European Economic Area or the United Kingdom.

In order to enter and maintain our Business Relationship, we may send and store your Personal Data outside of the EEA, Switzerland, or the United Kingdom, including to the United States. Accordingly, your Personal Data may be transferred outside the country where you reside or are located, including to countries that may not or do not provide an equivalent level of protection for your Personal Data. Your information may be processed and stored in the United States and United States federal, state, and local governments, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your information through the laws of the United States. By entering or continuing our Business Relationship, you represent that you have read and understood the above and hereby consent to the storage and processing of Personal Data outside the country where you reside or are located, including in the United States.

Your Personal Data is transferred by UserCue to another country only if it is required or permitted under the GDPR and provided, however, that there are appropriate safeguards in place to protect your Personal Data. To ensure your Personal Data is treated in accordance with our B2B Privacy Notice and this GDPR B2B Privacy Addendum when we transfer it to a third party, UserCue uses Data Protection Agreements between UserCue and all other recipients of your data that include, where applicable, the standard contractual clauses adopted by the European Commission and/or the Information Commissioner’s Office in the United Kingdom (collectively, the “GDPR Standard Contractual Clauses”). The European Commission and the Information Commissioner’s Office in the United Kingdom have determined that the transfer of Personal Data pursuant to the GDPR Standard Contractual Clauses provides for an adequate level of protection of your Personal Data, however, the GDPR Standard Contractual Clauses may need to be supplemented in some cases with additional measures on a case-by-case basis after an analysis that such supplemental measures can provide you with an essentially equivalent level of protection as afforded in the EEA and/or the UK. When, as a result of this analysis, we believe this to be appropriate and necessary, the GDPR Standard Contractual Clauses have been supplemented in this way. Under these GDPR Standard Contractual Clauses, you have the same rights as if your Personal Data was not transferred to such third country. You may request a copy of the Data Protection Agreement by contacting us through the Contact Information below.

11.Data Retention Periods.

UserCue will retain your Personal Data until the conclusion of our Business Relationship or until you request us to delete your Personal Data (subject to above). After this period, we may retain your Personal Data for any of the reasons listed below, whichever is longer:

for as long as necessary to comply with any legal requirement;

on our backup and disaster recovery systems in accordance with our backup and disaster recovery policies and procedures;

for as long as necessary to protect our legal interests or otherwise pursue our legal rights and remedies; and
-
for data that has been aggregated or otherwise rendered anonymous in such a manner that you are no longer identifiable, indefinitely.

12.Changes to This GDPR B2B Privacy Addendum.
